COURSE DESCRIPTION
Letter of intent in business transactions are intended to set a framework for negotiation of definitive contracts. They are not intended to be enforceable agreements. But if they become too detailed there are certain forms of communications or counter-parties are induced to rely on their terms they can become enforceable. This program will discuss the key terms of letters of intent the tripping line between statements of intention and enforceability and using letters of intent to establish a strategic bargaining position for drafting final documents.
